Guest Licensing Agreement

This Guest Licensing Agreement (“Agreement”) is entered into by and between you (“Contributor”) and The Power Is Now Media, a division of Eric Lawrence Frazier Advisory Services (“TPIN Media”). For all purposes of this Agreement, the term “TPIN Media” includes The Power Is Now Media, Eric Lawrence Frazier Advisory Services, all affiliated brands, associated platforms, successors, assigns, licensees, sublicensees, and authorized distribution partners. By checking the box, typing your name, and submitting this Agreement electronically, you consent to be bound by all terms pursuant to the federal E-SIGN Act and the Uniform Electronic Transactions Act (UETA).

1. Ownership of Content

You acknowledge and agree that TPIN Media is and shall remain the sole and exclusive owner of all audio, video, photographic, written, graphic, and digital content created during or arising from your appearance, including all recordings, footage, excerpts, transcripts, edits, compilations, derivative works, promotional materials, and all associated metadata (“Content”). This ownership includes all copyright and intellectual property rights under Title 17 of the United States Code and applies to both the original works and any derivative uses created now or in the future. You further acknowledge that you have no ownership, authorship, or proprietary interest in the Content, and no claim to any revenue or profit derived from its exploitation.

2. License Granted to TPIN Media

You grant TPIN Media a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to reproduce, distribute, broadcast, publish, display, transmit, stream, host, store, archive, monetize, advertise, promote, translate, adapt, caption, modify, excerpt, transform, generate derivative works from, or otherwise use the Content in any media now known or later developed. This license extends to all formats and technologies, including traditional television, radio, digital platforms, social media, streaming networks, OTT services, podcasts, transcripts, training materials, e-learning environments, books, magazines, artificial intelligence or machine-learning outputs, virtual or augmented reality environments, holographic projections, immersive experiences, and any future forms of media or distribution systems. This license requires no further approval or authorization from you.

3. Editorial Discretion

You acknowledge that TPIN Media retains exclusive discretion and final decision-making authority over the editing, formatting, selection, sequencing, presentation, timing, packaging, promotional use, and distribution of the Content. You waive any right to review or approve the Content prior to publication and any right to contest, challenge, or dispute the creative or editorial decisions made by TPIN Media.

4. No Commercial Use by Contributor

You agree that you shall not sell, license, distribute, monetize, commercially exploit, or authorize any third party to exploit the Content or any portion thereof. You may share publicly released versions of the Content solely for personal, non-commercial promotional purposes, provided that such sharing does not involve alteration, modification, re-editing, cropping, removal of logos, or the addition of commentary or context that modifies the Content’s original form or intention. Any commercial use, derivative creation, or unauthorized redistribution constitutes infringement and a breach of this Agreement.

5. No Removal Rights

You understand and agree that TPIN Media is under no obligation to remove, alter, suppress, discontinue, or restrict access to the Content once published. You waive any right to request removal from TPIN Media or from any third-party platform where the Content is hosted or distributed, including platforms not controlled by TPIN Media. You further acknowledge that TPIN Media has no obligation to remove the Content in response to personal preference, professional concerns, reputational considerations, or requests made by you or on your behalf.

6. Non-Disparagement

You agree that you shall not, at any time, whether publicly or privately and whether directly or indirectly, make, publish, circulate, transmit, or communicate any negative, critical, harmful, defamatory, misleading, or disparaging statements about TPIN Media, The Power Is Now Media, Eric Lawrence Frazier, Eric Lawrence Frazier Advisory Services, any TPIN Media staff member, representative, contractor, guest, host, collaborator, or any editorial, technical, or production-related decisions. This prohibition applies to social media, podcasts, videos, interviews, articles, group chats, online forums, private conversations, and all forms of communication. Any violation constitutes a material breach entitling TPIN Media to damages and equitable relief.

7. DMCA Takedown Waiver

You acknowledge that the Digital Millennium Copyright Act (“DMCA”) provides mechanisms for requesting removal of online content. Because TPIN Media is the exclusive copyright owner of the Content, you agree that you shall not file DMCA takedown notices, copyright claims, removal requests, suppression requests, or similar actions seeking to block, restrict, or remove the Content from any platform, including but not limited to YouTube, Facebook, Instagram, Spotify, Apple Podcasts, streaming applications, broadcast platforms, or any third-party distribution system. You also agree not to solicit or encourage any person or entity to file such actions on your behalf. Any such attempt constitutes a breach of this Agreement and authorizes TPIN Media to file counter-notifications, seek damages, and recover attorney fees and costs.

8. Waiver of Injunctive Relief

You expressly waive any right to seek or obtain injunctive relief, including temporary restraining orders, preliminary or permanent injunctions, takedown orders, or any form of equitable relief that would prevent, restrict, delay, or interfere with TPIN Media’s use, distribution, publication, or exploitation of the Content. You agree that your sole remedy, if any, shall be limited to monetary damages and that such remedies are further restricted by the terms of this Agreement.

9. Representations and Warranties

You represent and warrant that you have full legal authority to enter into this Agreement; that your participation and the Materials you provide do not infringe, misappropriate, or violate any copyright, trademark, privacy right, publicity right, confidentiality obligation, trade secret, or proprietary interest of any third party; that you are not disclosing confidential or proprietary information belonging to your employer or another party; and that your participation in the production does not breach any contractual, statutory, professional, or ethical obligations. TPIN Media relies upon these representations in producing and distributing the Content.

10. Indemnification

You agree to indemnify, defend, and hold harmless TPIN Media and Eric Lawrence Frazier Advisory Services from all claims, liabilities, damages, losses, expenses, and attorney fees arising out of or relating to your statements, conduct, or Materials, any alleged infringement, defamation, or privacy violation, any attempt by you or another party to restrict or remove the Content, and any breach of this Agreement. This indemnification obligation survives indefinitely.

11. Anti-Repudiation and Identity Verification

You acknowledge that your electronic signature—consisting of your typed name, IP address, timestamp, and checkbox confirmation—constitutes a valid and binding signature under applicable federal and state laws. You waive any right to later deny, repudiate, or dispute your execution of this Agreement. Any such attempt constitutes fraud.

12. Governing Law and Venue

This Agreement is governed exclusively by the laws of the State of California. The exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in Riverside County, California.
