Stand-Alone Media Release Agreement

This Stand-Alone Media Release Agreement (“Agreement”) is entered into by and between you (“Contributor”) and The Power Is Now Media, a division of Eric Lawrence Frazier Advisory Services (“TPIN Media”). For purposes of this Agreement, “TPIN Media” includes The Power Is Now Media, Eric Lawrence Frazier Advisory Services, all affiliated brands, platforms, successors, assigns, licensees, sublicensees, and distribution partners. By checking the box, typing your name, and submitting electronically, you agree to be bound by all terms of this Agreement under the E-SIGN Act and the Uniform Electronic Transactions Act (UETA).

1. Grant of Rights

You hereby grant TPIN Media the perpetual, irrevocable, worldwide, royalty-free, fully transferable and sublicensable right to record, capture, film, photograph, reproduce, publish, broadcast, stream, distribute, host, display, market, license, adapt, edit, modify, excerpt, promote, archive, and otherwise use your name, voice, likeness, image, biographical information, statements, performance, and any materials you provide (“Materials”) in any manner and in all media now known or later developed. This grant includes, without limitation, use on digital platforms, social media, television, streaming services, OTT networks, radio, podcasts, books, magazines, transcripts, compilations, advertising and promotional materials, AI-generated formats, holographic and immersive technologies, virtual and augmented reality platforms, training or educational materials, and all future technological formats. You acknowledge that TPIN Media may use the Materials in whole or in part, with or without attribution, and in any context TPIN Media deems appropriate.

2. Editorial Control

You acknowledge and agree that TPIN Media retains exclusive and final editorial control over all aspects of the content created, including without limitation filming, editing, formatting, sequencing, presentation, promotional positioning, timing of release, re-release, republishing, and all decisions relating to the use or non-use of the Materials. TPIN Media has no obligation to publish or utilize any content recorded.

3. No Removal Rights

You understand and agree that TPIN Media is under no obligation to remove, alter, edit, restrict, suppress, discontinue, disable, or modify any published or distributed content that includes the Materials. You expressly waive any right to request or compel removal or suppression of content from TPIN Media or from any third-party platforms or distribution systems on which TPIN Media content may appear.

4. No Compensation

You acknowledge that your participation is voluntary and that you shall not receive compensation, royalties, residuals, licensing fees, monetization revenue, advertising revenue, or profit-sharing of any kind arising from the creation, distribution, use, or exploitation of the Materials or any derivative works. This Agreement does not create an employment, partnership, agency, or joint-venture relationship between you and TPIN Media.

5. No Joint Authorship or Ownership Rights

You acknowledge that you are not a co-author, co-creator, or co-owner of any recording, production, or derivative work that incorporates the Materials. All copyrights and intellectual property rights in the content, including all derivative works, enhancements, compilations, translations, adaptations, and future uses, are owned exclusively by TPIN Media.

6. Non-Disparagement

You agree that you shall not, at any time, whether directly or indirectly and whether publicly or privately, make, publish, transmit, disseminate, or communicate any statement, comment, review, remark, video, post, communication, or representation that is negative, misleading, disparaging, harmful, defamatory, critical, or otherwise damaging concerning TPIN Media, The Power Is Now Media, Eric Lawrence Frazier, Eric Lawrence Frazier Advisory Services, any TPIN Media staff member, producer, contractor, representative, host, guest, or collaborator, any TPIN Media show or program, or any editorial, production, or scheduling decisions made by TPIN Media. This prohibition applies to all forms of communication, including social media, audio or video recordings, comments, messages, interviews, forums, private groups, or conversations with third parties. Violation of this covenant constitutes a material breach of this Agreement and entitles TPIN Media to pursue damages, equitable relief, cost recovery, and all other remedies permitted by law.

7. Confidentiality

You agree to maintain strict confidentiality regarding all non-public information obtained through your participation with TPIN Media, including but not limited to production schedules, internal communications, editorial processes, unpublished content, trade practices, operational methods, recordings not selected for publication, draft or working materials, and any proprietary or confidential business information. You agree not to disclose or use any such information for any purpose outside your participation in the production. This obligation survives in perpetuity.

8. DMCA Takedown Waiver

You acknowledge that the Digital Millennium Copyright Act (“DMCA”) provides a mechanism for requesting removal of online content. Because TPIN Media is the sole owner of all content produced and distributed, you agree that you shall not file DMCA takedown notices, removal requests, suppression requests, or any similar claims seeking to remove, restrict, block, or interfere with the distribution of TPIN Media content on any platform, including without limitation YouTube, Facebook, Instagram, podcast platforms, streaming services, OTT networks, or any third-party distribution service. You further agree not to solicit, encourage, authorize, or enable any person or entity to submit such requests on your behalf. Any attempt to request or compel removal constitutes a breach of this Agreement and authorizes TPIN Media to file counter-notifications, pursue damages, seek injunctive relief, and recover attorney fees and costs.

9. Waiver of Injunctive Relief

You expressly waive any right to seek injunctive or equitable relief, including temporary restraining orders, preliminary injunctions, permanent injunctions, takedowns, or any court-ordered suppression or delay of content distribution. You agree that your exclusive remedy, if any, shall be limited to monetary damages, subject to the limitations in this Agreement. This waiver is material to TPIN Media’s reliance on this Agreement.

10. Representations and Warranties

You represent and warrant that you have the legal right and authority to enter into this Agreement; that your statements and Materials do not infringe upon or violate any copyright, trademark, privacy right, publicity right, confidentiality obligation, or proprietary interest of any third party; that you are not disclosing confidential employer information; that your participation does not violate any contractual, statutory, or ethical obligations; and that all information and representations you provide are accurate and truthful. TPIN Media is materially relying on these representations.

11. Indemnification

You agree to indemnify, defend, and hold harmless TPIN Media and Eric Lawrence Frazier Advisory Services from any and all claims, liabilities, damages, losses, costs, expenses, attorney fees, or actions arising out of or relating to your statements, your Materials, your conduct, infringement or alleged infringement of third-party rights, defamation or privacy claims, any attempt to request or compel removal of content, or any breach of this Agreement. This obligation survives indefinitely.

12. Anti-Repudiation and Identity Verification

You acknowledge that your electronic signature—consisting of your typed name, IP address, timestamp, and checkbox confirmation—constitutes a legally valid and binding signature under the E-SIGN Act and UETA. You waive any right to later deny, challenge, repudiate, or dispute your execution of this Agreement. Any attempt to do so constitutes fraud.

13. Governing Law and Venue

This Agreement is governed exclusively by the laws of the State of California. The exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in Riverside County, California.
